By accessing or using perspectiv.tech (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

The Service is operated by Perspectiv AI Agent Inc., a Delaware C-Corporation ("Company," "we," "us," or "our").

2. Description of Service

perspectiv.tech is a SaaS platform that allows users to interact with their marketing data and conduct analyses using natural language and artificial intelligence. Our Service enables growth marketers to gain insights from their marketing channel data through AI-powered analytics.

3. User Accounts and Registration

Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

Eligibility

  • You must be at least 18 years old to use our Service
  • You must have the legal capacity to enter into these Terms
  • You represent that all information you provide is accurate and truthful

4. Subscription Plans and Billing

Service Plans

  • We offer free trial periods and freemium plans with limited features
  • Paid subscription plans are billed monthly
  • Subscriptions automatically renew unless cancelled
  • We reserve the right to modify pricing with 30 days' notice

Payment Terms

  • Payment is due in advance for each billing cycle
  • All fees are non-refundable except as expressly stated in our refund policy
  • You authorize us to charge your payment method for all applicable fees
  • Failure to pay may result in service suspension or termination

Refund Policy

  • We offer a 30-day money-back guarantee for first-time subscribers
  • Refunds are prorated based on unused service time
  • Free trial and freemium users are not eligible for refunds
  • To request a refund, contact us at founders@perspectiv.tech within 30 days of payment

5. User Responsibilities and Prohibited Uses

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Use the Service for any fraudulent or illegal activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Upload or transmit malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, redistribute, or sublicense the Service without authorization
  • Use the Service to compete with our business
  • Upload false, misleading, or inaccurate data
  • Violate the intellectual property rights of others
  • Harass, abuse, or harm other users
  • Create multiple accounts to circumvent limitations

Data Responsibility

  • You are responsible for the accuracy and legality of all data you provide
  • You must have proper authorization to connect and analyze marketing channel data
  • You warrant that your use of the Service complies with all applicable privacy laws

6. Intellectual Property Rights

Your Data

  • You retain all rights to the data you upload or connect to our Service
  • You grant us a limited license to process your data solely to provide the Service
  • We will not use your data for any purpose other than providing the Service to you

Our Platform and Analytics

  • We own all rights to the perspectiv.tech platform, including software, algorithms, and technology
  • We own all analytics, insights, reports, and derivative works generated by our platform
  • You may use the analytics and insights for your business purposes but may not redistribute them
  • All trademarks, service marks, and logos are our property or our licensors'

User-Generated Content

  • Any feedback, suggestions, or ideas you provide become our property
  • We may use feedback to improve our Service without compensation to you

7. Data Accuracy and AI Limitations

No Guarantee of Accuracy

  • Our Service uses artificial intelligence and large language models (LLMs) that may produce inaccurate, incomplete, or misleading results
  • LLMs can "hallucinate" or generate false information
  • You acknowledge that AI-generated insights may contain errors
  • You are responsible for verifying the accuracy of any insights before making business decisions
  • We make no representations or warranties about the accuracy, reliability, or completeness of any analytics or insights

8. Service Availability and Modifications

Service Availability

  • We strive to maintain high service availability but do not guarantee uninterrupted access
  • We may suspend the Service for maintenance, updates, or technical issues
  • We are not liable for any downtime or service interruptions

Service Modifications

  • We may modify, update, or discontinue features at any time
  • We will provide reasonable notice for material changes that affect functionality
  • Continued use of the Service after changes constitutes acceptance of modifications

9. Account Termination

Termination by You

  • You may terminate your account at any time by contacting us at founders@perspectiv.tech
  • Upon termination, your access to the Service will cease
  • We will delete your account data within a reasonable time after termination
  • You remain responsible for all charges incurred before termination

Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay required fees
  • Use the Service in a way that harms our business or other users

Effect of Termination

  • All rights and licenses granted to you will immediately cease
  • Sections of these Terms that should survive termination will remain in effect

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers and Limitations of Liability

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content
  • Decisions made based on AI-generated insights

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your data or content

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or breach of confidentiality.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms at any time.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.
